Terms of Service

1. Acceptance of Terms

By accessing or using Ginie.io (the “Service”), you agree to be bound by these Terms of Service. In these Terms, “Ginie,” “we,” “us,” and “our” refer to the operator of the Ginie.io Service, and “you” refers to the user. Payments are sold and processed by our Merchant of Record, Polar (see Section 10). If you do not agree, do not use the Service. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Service Description

Ginie.io is an AI-powered platform that generates short-form videos from text prompts, including script generation, voiceover, images, video, and assembly. The Service may also let you connect third-party social accounts (such as YouTube, TikTok, and Instagram) to publish content you create.

3. AI-Generated Content — No Guarantee of Results

You acknowledge and agree that:

  • Outputs are produced by automated, probabilistic AI systems and may be inaccurate, incomplete, low-quality, nonsensical, unexpected, or objectionable, and may not match your prompt or expectations.
  • Generation may fail, time out, be delayed, or be blocked by content filters or by third-party AI providers, and the same prompt may produce different results at different times.
  • We make no warranty that any output is accurate, original, unique, non-infringing, or fit for any particular purpose. Similar prompts may yield similar results for other users; we grant no exclusivity.
  • You are solely responsible for reviewing, editing, fact-checking, and clearing rights for any output before you use, download, or publish it. Outputs are not professional, legal, medical, or financial advice.

4. Account, Credits & Failed Generations

  • You must create an account to use the Service.
  • Video generation consumes credits included in your subscription plan.
  • Credits reset each billing cycle and do not roll over.
  • Credits are a license to use computing resources. They have no monetary value, are non-transferable, and are not redeemable for cash.
  • Failed generations do not consume credits. Credits are deducted only after a video reaches a completed state.
  • A video that completes successfully has consumed its credits even if you are dissatisfied with its quality, style, or accuracy, because the computing work was performed. Such credits are not refundable; you may regenerate or edit using additional credits.

5. Third-Party Services & Availability

The Service depends on third-party providers for AI generation, storage, payment, and social publishing. We do not control these providers and are not responsible for their outages, errors, changes, pricing, rejections, content policies, or termination of access. Connecting and publishing to social platforms (YouTube, TikTok, Instagram, etc.) is subject to each platform’s own terms, approval processes, and rate limits; we cannot guarantee that publishing will succeed, remain available, or be free of platform-imposed restrictions. You are responsible for complying with the terms of any platform you publish to.

6. Acceptable Use

You agree not to use the Service to:

  • Generate or distribute illegal, harmful, harassing, defamatory, or misleading content
  • Create deepfakes or impersonate real people without their consent
  • Infringe intellectual property, privacy, or publicity rights
  • Produce sexual content involving minors, or other prohibited content
  • Violate the policies of any platform you publish to
  • Distribute spam, malware, or malicious content
  • Bypass credit limits, reverse engineer, or abuse the platform or its providers

You are solely responsible for the prompts you submit and the content you generate, download, and publish.

7. Your Inputs & Representations

For any material you upload or provide (text, images, audio, brand assets, reference media), you represent and warrant that you own it or have all rights and permissions necessary to use it with the Service, and that your inputs and your use of the outputs do not and will not infringe or violate the rights of any third party or any law.

8. Content Ownership & License

You retain ownership of the prompts and source material you provide. Subject to your compliance with these Terms, generated videos are licensed to you for personal and commercial use. You grant us a limited license to host, process, and store your inputs and outputs solely to operate and improve the Service. We may use aggregated, anonymized usage data to improve the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ginie.io and its operators, affiliates, and personnel from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your inputs or generated content; (b) your use of the Service or any output; (c) your publishing or distribution of content to any platform; (d) your violation of these Terms or any law; or (e) your infringement of any third-party right.

10. Subscription & Billing

Payments for the Service are sold and processed by Polar (Polar Software Inc.) acting as the Merchant of Record. This means your purchase and payment contract is with Polar, and Polar is responsible for billing, payment processing, invoicing, and the collection and remittance of any applicable taxes (such as VAT or sales tax). Polar’s own terms apply to the payment transaction.

  • Subscriptions are billed monthly or annually and renew automatically until cancelled.
  • You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Price changes will be communicated at least 30 days in advance.
  • Refunds are handled through Polar and governed by our Refund Policy.

11. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output will meet your requirements.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Ginie.io AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

13. Changes to the Service

We may modify, suspend, add, or discontinue any part of the Service (including models, features, credit costs, and plan allocations) at any time. We are not liable to you or any third party for any such change.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for conduct that we reasonably believe harms the Service, other users, or third parties. You may delete your account at any time by contacting support. Unused credits are forfeited upon termination and have no cash value.

15. Governing Law & Disputes

These Terms are governed by the laws of [your country/jurisdiction], without regard to conflict-of-law rules. You agree that any dispute will be resolved exclusively in the courts of [your jurisdiction], and you waive any objection to that venue. To the extent permitted by law, disputes will be resolved on an individual basis and not as part of a class action.

16. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including third-party provider outages, internet or hosting failures, changes in third-party APIs or policies, acts of government, or natural events.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Copyright & Intellectual-Property Complaints

We respect intellectual-property rights and respond to valid complaints. If you believe content created or published through the Service infringes your rights, email [email protected] with: (a) identification of the work; (b) the allegedly infringing material and where it appears; (c) your contact details; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act. We will review and, where appropriate, remove the material and/or terminate repeat infringers. Submitting a knowingly false notice may make you liable for damages.

19. Severability & Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be enforced to the maximum extent permitted by law. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Ginie.io regarding the Service. Our failure to enforce any provision is not a waiver of it.
